Could be a dodgy stick of RAM - if you can, take your sticks of RAM out one by one and see if you still get the problem.

is there a speaker hooked up to the mobo? if so does it beep? if it beeps try to describe the beep pattern...
also how many slots do you have for ram and how many sticks of ram do you have...

2 sticks of memory 2 open ports on board I had the speakers hooked up no beeping sound like bad memory I run a system diagnostics it failed channel b simm o memory on first test I then retsted and it passed I removed video card cleaned contacts make sure it was seated ok still out

It is a bit difficult to say without having a clue as to your system configuration.
I would say try it with one stick DDR(or DIMM) 1 channel A. You can run memtest to see if your memory sticks are good or not.

vy any chance, do you have a digicam\pen drive\ mp3\ anything similar attached to your system when its booting? some bioses are dumb and cant tell the difference between a digital camera and your hard drive 
Start with just one stick of RAM in slot 0 or 1 or A (wichever is lowest, check mobo manuel)Disconnect all unecessary devices and make sure the CD/DVD is empty or has the correct boot disc in it. If that doesn't work try the other stick of RAM. If it still don't work, try resetting the CMOS jumper, and last of all, remove the CMOS battery and wait more than 10 minutes before retrying.

You gents and/or ladies have fun..Without some system specs this is a bit like a dog chasing his tail..all possible solutions are shots in the dark..He has not given the bas information needed.. that is why I gave generic info..I won't join the merry chase without some system specs.
