Would fit in the case. Although unsure if it would block the first 2 dimms on your board.

EDIT:

At a quick glance it would block the blue dimms on your board.

Hi JrRacinFan so are you saying it's no good can you suggest a good one how about the latest Zalman and how about overclocking the 965

Didn't say it wasn't good. It's a very very good cooler. Overclocking the 965, bring up the multi one notch at a time run prime95 for an hour, rinse repeat til you can't run it stable for 30 mins, then back it off one core multi. Stay less than 55C & 1.5v core. I like the Coolermaster hyper 212+ or Sunbeam Core Contact Freezer. A70 is just too big for my personal liking.

EDIT:
Also when overclocking MANUALLY enter vcore and adjust it yourself from auto. Start at 1.3v/3.4Ghz and work up from there.

You made a good decision. I am just saying don't expect to use 4 sticks of ram in combination with the board and cooler.

Check out Corsairs water cooling solution. H50, H60, H70.
Then you won't have to worry about if it will fit or if it will cover any ram.
It looks damn good too.
But that's my opinion and I'm sure others will differ.

The H50,60 or 70 is like air put the in do not have to do any more had my H50 running for a year now no probems at all. Keeps my x3 oc to 3.5GHz below 50c at full load.

In case it helps I have a little trick for sizing a cooler:

Make a (to scale) template for the motherboard using the diagram in the mobo manual and your favorite paint program (I use Paint.NET because you can draw in inches/cm). Then you can download info about the cooler's size and draw it (to scale) on the mobo template you made. An example of fitting a Mugen 2 on a P8P67 is shown in the attached image.

If you want to check if the top of the heatsink will hit the door or door fan, measure from the mobo tray to the door then subtract 1cm (roughly 0.5 inch) to account for the standoff + mobo + cpu clearance. Ideally you should have already mounted the mobo so you can measure from the socket to the door.

For bonus points download the spec sheet on your RAM sticks or measure their height then add 1/8" or 1/3 cm to account for the DIMM offset. That way you can figure out of the heatsink/fan is too low for your RAM slots.

EDIT: It also helps to check the back of the mobo to make sure there are no obstructions to the backplate (such as screws). I usually forget this last bit because I'm quite comfortable cutting up the backplate to fit, but if you're not, it's helpful to check.
