The GD65 is black, as opposed to brown, a visual choice.
The GD65 has more VRMs, which means more power phases, which gives you better over clocking ability.
The GD65 has 2 more Sata ports.
The GD65 also has more on-board(oh yes the pun) overclocking tools. A debug LED and onboard OC button, voltmeter measure points, and an onboard power button(good for benching).

Really the only reason to get the GD65 is if you are overclocking/trying to get the best performance you can.
Otherwise, the G45 would serve a normal user perfectly fine/

Haswell pulls low(by cpu standards) currents through the VRM therefore the VRM doesn't matter when overclocking so when picking a board you should be looking at onboard sound/fan header count and control/USB3.0 count/SATA port count/ethernet controller/wifi module/bluetooth.

Of Which both of them have the same, except the GD65 has 2 extra SATA ports.
