Overclocking 775 board w/video

I need some recommendations on a lga775 board with these qualities; in order of importance:
1. Good on-board graphics.
2. Good overclocking.
3. Matx preferred, but not necessary.

I was considering the following board, think it will suffice?

P5E-VM might be better but it is much more expensive.

Since you want a good overclocking board get this:

http://www.newegg.com/Product/Product.aspx?Item=N82E16813131184 <-- Its not Micro ATX Sorry. Well actually the Gxx series are not that good for overclocking. The best chipsets are P35/P45/X38/X48 but those don't have onboard chipsets.

Also it will be good if you let me know your budget.

My planned budget was up to $90 but I'm willing to go higher if needed. It will be used in a htpc case with no room for full size expansion cards so good on-board graphics is the most important factor. I don't need Uber overclocking power but I do want control over fsb/voltages/etc for some moderate overclocking. Using a full atx board will interfere with full lenth dvd drives, reducing my choices, so I prefer matx but it is not 100% necessary.

It's not new anymore but I'm very happy with my Abit F-i90HD. It has an ATI X1250 GPU and has voltage control for CPU, NB & DDR2. I've overclocked my E2160 on it from 1.8 to 2.7Ghz.

It's uATX has plenty of USB, RAID, HDMI & SPDIF. Should be ideal for an HTPC!
