At 3Ghz (300x10) 800Mhz ram my pc is stable but at 2.4Ghz (400x6) 800Mhz ram it restarts when stressed with Prime95 even when I raise the SB,NB voltages it wont stay stable. Any idea why?

What memory and CPU voltage settings?

Need a little more on what settings your using for each FSB for more help...see the first section in my OC guide for a better idea on how to provide better info to recieve better help if you get a moment.

How long after PRime runs does your PC restart? If you can please list some more details.

You must be specified , more detail about problem you are so confusion. But first you must find default voltage for every parameter in bios which is necessary for overclocking clear cmos then try again.

Right now I am running at 3.15 Ghz(350x9) ram 840Mhz

Cpuvcore-1.43v
Fsb termination voltage-1.20
NB-1.10
Sb-1.10
Dram-1.8
Pcie data-1.50

Its stable at 3.2Ghz (320x10) but not at 2.4Ghz (400x6), even if I raise fsb,nb,sb voltages. Why?

well the rams in your machine are 667.... and you are running them way over their limits.. that's the problem.

get some DDR-800 or DDR-1066 then you can come back and try again.

+1 there is conformance between cpu fsb and ram fsb , at first try the two fsb are conformance

What is your processor type and memory. Your Cpuvcore-1.43v it seems to be to high. I told you before you must be specified, If your memory 667 then you should put it in ratio 333/667 1:1 or if is 800 then 400/800 1:1 because it is default value and there will be no problem with memory even you excited fsb of processor
You wroth Its stable at 3.2Ghz (320x10) but not at 2.4Ghz (400x10), even if I raise fsb,nb,sb voltages. Why? What this means 400x10=4000 not 2,4Mhz?

Ooops! I wanted to say 400x6 not 400x10. I have E4400 and 667Mhz ram but its stable at 800Mhz so I dont think the ram is an issue

It may be tightening the ram timings. My old Gigabyte board would do that if left to AUTO, when the ram speeds went up, then the timings loosened, down and they tightened.

You see I had Penrium D 915 2.8 Ghz and I can overclock it up to 3.6 Ghz (14x260=3640)now I have Q9300 2.5Ghz and oc it up to 3000 Mhz(7.5x400=3000Mhz) without increase any voltage default is 1.22. E4400 2.0Ghz 800Mhz FSB your multiplier is 10 (10x200=2000Mhz)You wroth At 3Ghz (300x10) 800Mhz ram my pc is stable but at 2.4Ghz (400x6)how you can change multiplier of processor when it is unchangeable ?

It is changeable, I can choose between 6 and 10. 10 is the maximum multiplier I can choose unlike Extreme processors

You might can change multiplier but it seems motherboard, bios or processor don't love it. Only I can tell you find default value in bios need it for overclock and use his default multiplier and find the highest clock you can get it and start of it,but I think 6x400 it's too much for your E4400 because FSBWALL of processor. That is all I can say about of it.

Which is faster? 3.2Ghz 1280FSB or 3.15Ghz 1400Fsb?

3.15 because it's FSB is 1400Mhz I am enough sure because you can put more information through 1400fsb then 1280fsb those 0.05 mhz is minor.
