First just wanted to thank y'all for the help on the upgrade. Here's the final decision of what I am going to get (its a combo from Ascentech):

I have a EVGA Nvidia 8400 GS card. The Motherboard comes with ATI Radeon HD 4200 Graphics Controller, Max Shared Memory 512MB as you can see. I am wondering if I should return the Nvidia card and just stick with the graphics controller that comes on the motherboard? Only major function of my PC will be encoding H264 videos (no online gaming). Will I see better performance with the Nvidia over what comes in it? Thanks

If you are not gaming, there is no reason to have a dedicated video card. And if you are gaming you'd need something of a much better calibar than the two you've selected.

For encoding, the video card will not come into play at all. Encoding replies upon the CPU horsepower.

For encoding, graphics don't come into play. The add-on graphic card is not useful at all in your case. You will have a perfectly fine experience with the 4200 chip. If you ever need to have gpu power, then it will always be time to upgrade.
