PCI-E 2.0 slots are backwards compatible with 1.1/1.0 cards and PCI-E 2.0 cards work in PCI-E 1.1/1.0 slots :)

Nope. PCI-E 2.0 doesnt do much to performance, maybe a few fps. It mainly just gives the card more power so it doesnt have to mooch off the 6pin as much and just uses more from the slot.

Also, I have a 420 watt ps, but it calls for 425 watt. 5 watts mean much?

amps are more important, id say at least 32a on the 12v and you should be OK providing youre using a quality PSU

No it wont work, an ASUS motherboard with an Nvidia Card will cause ID01T errors.
