Don't mean to add more chatter to the sale thread, but all retail Windows 8 keys are "Upgrade." And what I mean by that is that the key will only work if you are doing an upgrade install from Windows 7. However I have discovered a way to change a few registry settings when doing a brand new clean install of Windows 8 and being able to activate the OS with the given retail key.

Sometimes, you just need to do a clean install. Unfortunately, the Windows 8 Upgrade doesn't always allow for that, throwing you an error when you try to activate after a clean install. Reader uncommoner shows us a workaround for this issue.

If you do a clean install using the Windows 8 Upgrade Assistant, you should be fine—but if you've already formatted your drive or you're moving to a new drive, you can't do a "clean install" without installing an old version of Windows first. It'll let you install Windows 8 cleanly, but when you go to activate, you get an error 0x8007007B, saying your product key can only be used for upgrading.

Did that process on my file server with new Win8 Pro, and worked perfectly.

I did a clean install my key wasn't accepted so I performed an upgrade over the top and my upgrade key worked, GLWS

This should help with using the upgrade key on a clean install

Ok after some research I found a fix for the dreaded "0xC004F061" Windows cannot be activated due to not being an upgrade.

Code:
1. Launch the command prompt as an administrator (Windows key & X –or CMD X if running on a Mac).

2. Type regedit and press enter.

3. Navigate to HKEY_LOCAL_MACHINE/Software/Microsoft/Windows/CurrentVersion/Setup/OOBE

4. Look for the item MediaBootInstall and set the status to 0

5. Close regedit and head back to the command prompt that should be still open.

6. Type slmgr /rearm and restart when prompted.
