If that mobo is anything like the P5K-E (which it looks like it is), then I would say that the NB would be approx. 1" high give or take a few MM.

It will be a close fit if at all to get it in below, and even if you did, you would be cutting off the GPU fan from a bit air.

How long is the card?

ANd it will fit under the 260, though it will choke the airflow. it will fit in the top slot as long as the card is not to long.

The audio card is considerably shorter than the graphics card. Put it under the graphics card. I don't think it's going to impede the airflow though putting it above the graphics card, the audio card is going to get a lot of radiant heat.
