Will this upgrade make a good difference? Or I'm fine still?
 
Well technically you're still fine, but come on, you know you want to get that E8500. To more seriously answer your question, you will see improvements, but it mainly depends on how much you have to spend and if you HAVE to get a new CPU.
 
You will see a 'meh' jump. Nothing too big. Not worth it imo.

True, true, i just upgraded my mobo, GPU and mem, the processor was the nest thing, but im second doubts, because i didnt find a buyer for the current one i have
 
Unless you have an burning urge to get a new CPU, I would just wait. But if you must, I'd at least look into some form of quad core.
