Geforce 8800GTS wont play nice with any PCI card

I cannot install any PCI card on a fresh install of windows XP SP2:

-Gigabyte K8N51GMF-9/Foxconn nForce 430 board
-BFG Geforce 8800GTS
-Fresh Windows Install
-Soundblaster X-Fi PCI
-Hauppauge WinTV PVR 350

So here is the problem:
-I install windows. Everything -> OK
-I install the mainboard drivers -> OK
-All Windows Updates -> OK
-After Reboot, wanted to install Graphic card drivers -> Screen goes black with a blinking cursor in the top left corner, nothing happens
-Reset PC -> Boots fine -> Graphic card drivers not installed
-Turn off PC
-Take out PCI cards
-Boot Windows, install Graphic card drivers -> works!
-Reboot, NVIDIA drivers are there all is fine
-Put X-Fi back into system
-Boot -> during the "Windows XP Professional": loading bar freezes, hard drive access stops. Nothing but resetting helps
-Put X-Fi into other PCI slot (mATX board so there is only 2): same deal
-Put Hauppauge WinTV in any slot -> same deal
-Pull PCI cards -> PC works fine

So as long as the graphic card drivers are not installed, everything works fine. As soon as I try to install them everything goes wrong. The card works flawlessly by itself. Benchmarking and such is not a problem. It is not the mainboard as I have tried both a Gigabyte and Foxconn, both with the newest BIOS...

The PSU is a Vortec 550W with plenty of power...

anyone got any idea?

goto bios and disable AC '97 and try that. Possibly a audio confict between onboard and deticated.

Well it happens even if only the Hauppauge card is in the PC. Onboard Audio was the first thing I disabled :)

1. Try pci cards in otra computadora.
2. Pci cards defective (above will tell)
3. Nf4 = angry at 8800

I think 3.
 
Well thanx for the input, all is not the case:

1. PCI cards work fine in other system
2. The mainboard works perfectly fine as well as long as the PCI are not in there
3. nForce 4 = angry at 8800. I am not waiting to find out. -> Just ordered a ATI based mATX PCIe board.

check for any interrupt request conflicts between devices (IRQs) might also be a bios bug, if you havent already flash your mobo with the latest bios.

Well I can set the IRQ for the PCI device in the BIOS. No matter what I set it at, it does not make a difference. Setting other IRQ is not possible.

i'm going to say bios, as that board is socket 754. also, there was an issue with this board when the 7900GX2 came out.

The F7 is the newest

I just called Gigabyte Germany up. Seems like they agree with me that this is a compatibilty issue. I asked if there will be a new BIOS out for the board. The guy on the phone said that the socket is no longer being produced, thus no new BIOS.

So no getting around this. I am getting the only other board I found which will have 2 free PCI slots when a 8800GTS is installed. It only has 2 memory slots, but since I am using 2x1GB I am hoping that it will be fine:

That was the only available board I could get, which had that attribute...The other 2 options were Gigabyte and Foxconn - and I tried those...

if anything else breaks again (memory, cpu or board) I will renew my PC completely.

I have samekind of prob with my nf4: audigy card works only in the first pci slot
