I just recently upgraded my pc. Oddly enough windows and bios is only detecting 24GB out of 32GB
A few things to note.

I have updated bios to latest version available
Motherboard : MSI x299 gaming pro carbon ac

Bios has been reset.

Ram : GSKILL 3300mhz but runs at stock as XMP not enabled.

What does the BIOS show?
Task Manager only reads three slots as populated with Ram.

Re seat and drop the speed... just to see is all post

Bios shows 24GB RAM, but in MSI bios you can check individual ram slots information and it shows 8GB x4 which is odd ! Also i notice that this motherboard.. when i shut down in windows.. the fans still spin and machine still running ? And after 10 minutes of that it boots up on its own ? Do you think i have a malfunction motherboard ?

Reseat the Ram, and if that doesn't work you might have to try a reinstall of Windows.
Boot loops are usually a Software issue more than Hardware.

I have an msi 299 and it only does the partial ram init in bios if the settings are too tight, not seated or a dead stick/slot.

Try the other channels... if not its probably a dead stick.

Is all of the Ram the exact same brand, model, rating?

You may have a short.

1. Take ESD and electricity precautions (static is bad, electricity is bad)

2. Take the motherboard out of case, put on a non conductive surface elevated on a box or near edge so a gpu can be inserted correctly.

3. Take ram modules out, blow dust out of ram slots, if you have electronic grade contact cleaner such as by CRC or WD-40 Professional give the ram slots a spray down, wring board out or blow it out.

4. Inspect Ram module contacts for debris, corrosion, sticky/dirty/varnish/burns. Clean them if anything is found, contact cleaner can be used. Reinsert ram modules per motherboard manual and what is known working and what is not working.

5. Remove cpu cooler, remove cpu and inspect cpu and socket for damaged contacts and pins, inspect for any varnish/burns/dirty.

6. Clean cpu and heatsink and reapply thermal compound. Do not tighten cooler to point of board warpage.

7. Reset/Clear BIOS/RTC/JBATT by using jumper on mobo.

8. Use minimum devices needed to start up and get into Windows.

9. Enter bios and verify all ram modules are detected. Your MibBy reading should be 32,768 or 32 GibBy.

If it still fails only have modules known working inserted and then add 1 module at a time. If no dice, ram in question where known good slots are, then put known working ram in slots in question.

Process of elimination.

Is it a fresh install, and have you let Windows update?

Just want to update everyone. I will be testing my motherboard with a different set of RAM Kit (friends one) .

I did testing as some people suggested in this thread. I tested 2 RAM sticks at a time... and when paired with 1 specific stick the computer will not boot, the motherboard does not show any error code either. So im starting to get a feeling that it might be the ram that is faulty opposed to the motherboard ? Thoughts ?

Just for me to be sure i will test with my friends ram, and he will test my ram in his motherboard.

thanks for all the suggestions !

that's a good indication 1 stick is dubious

that should confirm if the Ram is the problem ( put postit stickers numbering ram sticks to avoid confusion when swapping around that ram)

Sounds like a dodgy stick to me too, before the OP's last post I was also going to suggest a re-seat of the CPU, with an integrated memory controller anything like that can cause memory malfunctions and/or detection issues.
