Good upgrade or not?

I currently hav an amd athlon 64 3800+ 2.4ghz single core cpu..I ordered an Intel core 2 duo e6600 2.4ghz that im picking up today(I already have the mobo for it)I just want to play simple games like cod 4..this is my fps now in call of duty 4:minimum-5 average-20 max-45
Will this intel core 2 duo make a difference? Btw i have a 8800gt gpu that im putting with it

Yes it will make a difference, its about twice as fast as the old Athlon :)
