NVIDIA Receives Approval to Proceed with Mellanox Acquisition from China's Antitrust Authority

NVIDIA today announced that it has received approval from all necessary authorities to proceed with its planned acquisition of Mellanox, as announced in March 2019. The latest approval by China's State Administration for Market Regulation follows antitrust approval from the European Commission and Mexico and the expiration of the waiting period under U.S. antitrust laws. With the exception of the remaining customary closing conditions, all conditions to the deal's closing have been satisfied.

NVIDIA announced on March 11, 2019, its intention to acquire Israel-based Mellanox for $125 per share in cash, or $6.9 billion, in a transaction that would combine NVIDIA's leading computing expertise with Mellanox's high-performance interconnect technology. The acquisition is expected to be immediately accretive to NVIDIA's non-GAAP gross margin, non-GAAP EPS and free cash flow. Closing is expected to occur on or about April 27, 2020.

Ethernet Technology Consortium Announces 800 Gigabit Ethernet (GbE) Specification

The 25 Gigabit Ethernet Consortium, originally established to develop 25, 50 and 100 Gbps Ethernet specifications, announced today it has changed its name to the Ethernet Technology Consortium in order to reflect a new focus on higher-speed Ethernet technologies.

The goal of the consortium is to enhance the Ethernet specification to operate at new speeds by utilizing specifications that are developed or in development. This allows the organization to work alongside other industry groups and standards bodies to adapt Ethernet at a pace that aligns with the rapidly evolving needs of the industry. The ETC has more than 45 members with top-level promoter members that include Arista, Broadcom, Cisco, Dell, Google, Mellanox and Microsoft.

NVIDIA Announces Financial Results for Fourth Quarter and Fiscal 2020

NVIDIA today reported revenue for the fourth quarter ended Jan. 26, 2020, of $3.11 billion, up 41 percent from $2.21 billion a year earlier, and up 3 percent from $3.01 billion in the previous quarter. GAAP earnings per diluted share for the quarter were $1.53, up 66 percent from $0.92 a year ago, and up 6 percent from $1.45 in the previous quarter. Non-GAAP earnings per diluted share were $1.89, up 136 percent from $0.80 a year earlier, and up 6 percent from $1.78 in the previous quarter.

For fiscal 2020, revenue was $10.92 billion, down 7 percent from $11.72 billion a year earlier. GAAP earnings per diluted share were $4.52, down 32 percent from $6.63 a year earlier. Non-GAAP earnings per diluted share were $5.79, down 13 percent from $6.64 a year earlier. "Adoption of NVIDIA accelerated computing drove excellent results, with record data center revenue," said Jensen Huang, founder and CEO of NVIDIA. "Our initiatives are achieving great success.

NVIDIA Announces Financial Results for Second Quarter Fiscal 2020

NVIDIA today reported revenue for the second quarter ended July 28, 2019, of $2.58 billion compared with $3.12 billion a year earlier and $2.22 billion in the previous quarter. GAAP earnings per diluted share for the quarter were $0.90, compared with $1.76 a year ago and $0.64 in the previous quarter. Non-GAAP earnings per diluted share were $1.24 compared with $1.94 a year earlier and $0.88 in the previous quarter.

"We achieved sequential growth across our platforms," said Jensen Huang, founder and CEO of NVIDIA. "Real-time ray tracing is the most important graphics innovation in a decade. Adoption has reached a tipping point, with NVIDIA RTX leading the way. "NVIDIA accelerated computing momentum continues to build as the industry races to enable the next frontier in artificial intelligence, conversational AI, as well as autonomous systems like self-driving vehicles and delivery robots," he said.

NVIDIA Brings CUDA to ARM, Enabling New Path to Exascale Supercomputing

NVIDIA today announced its support for Arm CPUs, providing the high performance computing industry a new path to build extremely energy-efficient, AI-enabled exascale supercomputers. NVIDIA is making available to the Arm ecosystem its full stack of AI and HPC software - which accelerates more than 600 HPC applications and all AI frameworks - by year's end. The stack includes all NVIDIA CUDA-X AI and HPC libraries, GPU-accelerated AI frameworks and software development tools such as PGI compilers with OpenACC support and profilers. Once stack optimization is complete, NVIDIA will accelerate all major CPU architectures, including x86, POWER and Arm.

"Supercomputers are the essential instruments of scientific discovery, and achieving exascale supercomputing will dramatically expand the frontier of human knowledge," said Jensen Huang, founder and CEO of NVIDIA. "As traditional compute scaling ends, power will limit all supercomputers. The combination of NVIDIA's CUDA-accelerated computing and Arm's energy-efficient CPU architecture will give the HPC community a boost to exascale."

NVIDIA to Acquire Mellanox Technology for $6.9 Billion

NVIDIA and Mellanox today announced that the companies have reached a definitive agreement under which NVIDIA will acquire Mellanox. Pursuant to the agreement, NVIDIA will acquire all of the issued and outstanding common shares of Mellanox for $125 per share in cash, representing a total enterprise value of approximately $6.9 billion. Once complete, the combination is expected to be immediately accretive to NVIDIA's non-GAAP gross margin, non-GAAP earnings per share and free cash flow.

The acquisition will unite two of the world's leading companies in high performance computing (HPC). Together, NVIDIA's computing platform and Mellanox's interconnects power over 250 of the world's TOP500 supercomputers and have as customers every major cloud service provider and computer maker. The data and compute intensity of modern workloads in AI, scientific computing and data analytics is growing exponentially and has put enormous performance demands on hyperscale and enterprise datacenters. While computing demand is surging, CPU performance advances are slowing as Moore's law has ended. This has led to the adoption of accelerated computing with NVIDIA GPUs and Mellanox's intelligent networking solutions.

Mellanox Not Quite Intel's Yet, NVIDIA Joins Competitive Bidding

Late January it was reported that Intel is looking to buy out Israeli networking hardware maker Mellanox Technology, in what looked like a cakewalk USD $6 billion deal at the time, which was a 35 percent premium over the valuation of Mellanox. Turns out, Intel hasn't closed the deal, and there are other big tech players in the foray for Mellanox, the most notable being NVIDIA. The GPU giant has reportedly offered Mellanox a competitive bid of $7 billion.

NVIDIA eyes a slice of the data-center networking hardware pie since the company has invested heavily in GPU-based AI accelerators and its own high-bandwidth interconnect dubbed NVLink, and now needs to complete its hardware ecosystem with NICs and switches under its own brand. Founded in 1999 in Yoqneam, Israel, Mellanox designs high performance network processors and fully-built NICs in a wide range of data-center relevant interconnects. Intel is by far the biggest tech company operating in Israel, with not just R&D centers, but also manufacturing sites, in stark contrast to NVIDIA, which opened its first R&D office in 2017 with a few hundred employees.

Intel Looking to Buy Out Mellanox to Challenge Huawei in the 5G Infrastructure Gold Rush

Intel is in the fray to acquire Israeli networking infrastructure manufacturer Mellanox Technology for $6 billion in cash and shares, which constitute a 35 percent premium over its most recent valuation. Mellanox designs and manufactures infrastructure-scale networking hardware, such as high-bandwidth switches, adapters, and other data-center networking hardware, and when acquired by Intel, could give the company sufficient IP and manpower to take on Chinese networking equipment giant Huawei, in the gold-rush to bring 5G to the world, in addition to sustaining the cloud-computing boom. Huawei has been banned in several western nations (particularly NATO member states) for political or strategic reasons, and a large vacuum has been built that's being approached by other "Kosher" players such as Mellanox, Cisco, etc.

OCZ Technology and Mellanox Technologies Announce Collaboration

Google, IBM, Mellanox, NVIDIA, Tyan Announce Development Group for Data Centers

Google, IBM, Mellanox, NVIDIA and Tyan today announced plans to form the OpenPOWER Consortium - an open development alliance based on IBM's POWER microprocessor architecture. The Consortium intends to build advanced server, networking, storage and GPU-acceleration technology aimed at delivering more choice, control and flexibility to developers of next-generation, hyperscale and cloud data centers.

The move makes POWER hardware and software available to open development for the first time as well as making POWER IP licensable to others, greatly expanding the ecosystem of innovators on the platform. The consortium will offer open-source POWER firmware, the software that controls basic chip functions. AMD Open 3.0 Delivers Premium Server Performance at Half the Cost

AMD today announced availability of servers based on its AMD Open 3.0 specification, defined as part of the Open Compute Project, delivering workload versatility and performance equal to competing proprietary OEM servers at significantly lower cost. In comparison to benchmarks running virtual desktop infrastructure (VDI), the AMD Open 3.0-based system supported just as many virtual desktops and reduced total cost of ownership (TCO) by 57 percent: $4,589 versus $10,669 for just a single server. This cost effectiveness translates into a dramatic reduction in cost per virtual desktop, from $91.19 to only $38.24 per desktop. NASA Scales SGI Pleiades InfiniBand Cluster to 25,000 Intel Xeon Processor Cores

SGI, the trusted leader in technical computing, announced today that with over 60 miles of InfiniBand cabling in place at the NASA Advanced Supercomputing (NAS) Division at NASA Ames Research Center at Moffett Field, Calif., a scientist was able to utilize 25,000 SGI ICE Intel Xeon processor cores on Pleiades to run a space weather simulation.
